1. Acceptance of Terms

By accessing or using PINNOai (app.pinnoai.com), operated by PINNO Marketing & Business Development ("PINNO," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our platform. These Terms apply to all visitors, users, and anyone who accesses or uses our services.

2. Description of Services

PINNOai provides an AI-powered business assessment and growth platform. Our services include:

• Multi-phase business assessments evaluating Branding, Strategy, Operations, and Marketing
• AI-generated business health scores, gap analysis, and recommendations
• Strategic business tools including brand workbooks, GTM strategies, and operations checklists
• Client portal for project tracking and service engagement management
• AI assistant (Natalie Conway) for executive operations and sales intelligence
• Email nurture sequences and strategic communication workflows

3. User Accounts

3.1 Registration

Some features require creating an account. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You are responsible for all activity that occurs under your account. Notify us immediately at info@pinnomarketing.com if you suspect unauthorized access to your account.

3.3 Google Sign-In

If you authenticate using Google, your use of Google services is also governed by Google's Terms of Service and Privacy Policy. We access only the Google account data necessary to provide our services and only with your explicit authorization.

4. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose or in violation of any regulations
• Attempt to gain unauthorized access to any part of the platform or its related systems
• Transmit any malicious code, viruses, or disruptive software
• Scrape, crawl, or harvest data from the platform without written permission
• Impersonate any person or entity or misrepresent your affiliation
• Use the platform to send unsolicited commercial communications (spam)
• Interfere with the integrity or performance of the platform

5. Intellectual Property

All content, features, and functionality of PINNOai — including but not limited to text, graphics, logos, AI-generated assessments, the PINNO 4-Phase Framework, and software — are owned by PINNO Marketing & Business Development and are protected by applicable intellectual property laws.

You retain ownership of the business data and information you submit to the platform. By submitting content, you grant PINNO a limited license to use that data solely to provide and improve our services.

6. AI-Generated Content

PINNOai uses artificial intelligence to generate assessments, scores, recommendations, and other content. This content is provided for informational and educational purposes only and does not constitute professional legal, financial, or business advice. You should consult qualified professionals before making significant business decisions based on AI-generated recommendations. PINNO does not guarantee the accuracy, completeness, or fitness of AI-generated content for any particular purpose.

7. Email Communications

By completing a business assessment or creating an account, you consent to receiving transactional emails related to your account and strategic nurture email sequences from PINNO. You may unsubscribe from marketing emails at any time using the unsubscribe link included in every email. Transactional emails related to active service engagements may not be unsubscribed from while the engagement is active.

8. Payment and Fees

Certain features and services may require payment. All fees are stated in US dollars and are non-refundable except as required by law or as explicitly stated in a separate service agreement. PINNO reserves the right to change pricing with reasonable notice.

Payments are processed by third-party payment processors. PINNO does not store your full payment card information.

9. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, PINNO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

PINNO's total liability to you for any claims arising from these Terms or your use of the platform shall not exceed the amount you paid to PINNO in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless PINNO and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the platform, violation of these Terms, or infringement of any third-party rights.

11. Termination

PINNO reserves the right to suspend or terminate your account and access to the platform at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, PINNO, or third parties. Upon termination, your right to use the platform ceases immediately.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in North Carolina.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms with a new effective date. Your continued use of the platform after changes constitutes acceptance of the revised Terms.
